146 3.4 Prospectus and its contents


By the end of this sub unit, you should be able to:

1. State the legal requirements for a prospectus in relation to the Companies Act 1965.

2. State the important contents that must be included in a prospectus as required by the Act.

3. Articulate the guidelines for a prospectus as required by the Act.



In company law, a prospectus is a legal document that businesses use to describe the securities they are offering for participants and buyers. It is a document which is required by and filed with the Securities Commission. It provides details about an investment offering for sale to the public.
